Terms of Service

Last updated: September 4, 2026

These terms govern your use of Octavella, an instrument rental, inventory, and repair platform operated by Octavella LLC. Please read them alongside our Privacy Policy.

1. Agreement to these terms

These terms are a binding agreement between you and Octavella LLC, which operates Octavella. By creating an account, renting an instrument, or otherwise using Octavella, you agree to them. If you do not agree, do not use the service.

2. Who may use Octavella

You must be at least 18 years old and able to enter into a binding contract. A parent or legal guardian enters into a rental on behalf of a student, and is the party responsible under these terms, including for payment and for the condition of the instrument.

Students do not hold accounts. School staff accounts are created by the school or by us at the school's request.

3. Your account
  • Give accurate information when you register, and keep it current.

  • Keep your sign-in credentials confidential. You are responsible for activity under your account.

  • Tell us promptly if you believe someone else has accessed your account.

4. What Octavella is

Octavella is a platform. Instruments are owned, rented, delivered, serviced, and repaired by the schools, music retailers, and repair shops that use it, which we call Providers. Payments you make are processed to the Provider's own payment account.

This matters for who you are contracting with: your rental agreement is with the Provider, and the instrument is theirs. We are never the merchant, and we never take ownership of an instrument. We provide the software that runs the arrangement and the billing that supports it.

So two agreements apply to a rental, and they cover different things. These terms govern your use of Octavella, the software. The Provider's own rental agreement, which you accept when you rent, governs the instrument itself: what it costs, how long you keep it, how it must be cared for, and what happens if it is damaged, lost, or returned late. Where the two overlap, the Provider's rental agreement controls the instrument and these terms control the software.

5. Rentals and billing

Rentals are billed as a recurring monthly subscription through Stripe. Billing continues until the rental is cancelled or completed. You authorise recurring charges to your chosen payment method when you start a rental.

Where a rental is offered on a rent-to-own basis, your payments accumulate toward the instrument's purchase price, and the rental completes automatically once that total is reached. At that point the instrument is yours and billing stops.

A rental that is started but never paid for does not stay open indefinitely. If a pending rental has not been activated by a successful payment within 30 days, it is cancelled automatically and the instrument is released.

If a payment fails, we may retry it and may suspend the rental until payment succeeds. You remain responsible for amounts already due.

The price, the minimum term, any deposit, and any late or non-payment fee are set by the Provider in its rental agreement, not by us. What is described above is how the billing mechanism itself behaves.

6. Cancellation and refunds

You may cancel a rental from your account or by contacting the Provider. Cancellation stops future billing.

Refunds are the Provider's to give. Because your rental agreement and your money are both with the Provider, requests for a refund, a credit for a partial month, or the treatment of accumulated rent-to-own credit are decided by the Provider under its rental agreement. Contact the Provider first. We can help you reach them and can see your billing history, but we cannot issue a refund on their behalf.

7. Care of the instrument

While an instrument is in your possession, you agree to keep it in good condition, use it only for its normal purpose, and not sell, lend, pledge, or alter it. Title stays with the Provider until a rent-to-own purchase completes.

Report damage, loss, or theft promptly through the application or to the Provider.

What you owe if an instrument is damaged, lost, or stolen is set by the Provider's rental agreement, including whether a maintenance or damage-protection plan applies. We do not set those terms and we are not a party to them. Read the Provider's rental agreement before you rent.

8. Delivery and return

Instruments are normally delivered to the student's school and collected from it. The delivery location is shown when you set up the rental.

Delivery and return are performed by the Provider, and the terms that govern them, including the condition an instrument must be returned in and what happens if it is returned late or not at all, are in the Provider's rental agreement.

9. Repairs and service

You can request repairs and service through the application. A repair may need approval from the Provider or the school before work begins, and chargeable work is quoted before it is carried out.

10. Acceptable use
  • Do not access accounts, data, or organizations you have not been given access to.

  • Do not interfere with the service, probe it for vulnerabilities without permission, or attempt to disrupt it.

  • Do not scrape, copy, or resell data from the service.

  • Do not upload unlawful content, or content you do not have the right to upload.

  • Do not use the service to break the law.

We may suspend or close an account that breaches these terms, and will tell you why unless we are legally prevented from doing so.

11. Content you upload

You keep ownership of photographs, notes, and other content you upload. You grant us permission to store, display, and process it to operate the service. Octavella itself, including its software, design, and branding, remains ours.

12. Third-party services

Payments are handled by Stripe and are subject to Stripe's own terms. If you sign in with Google, Google's terms apply to that sign-in. We are not responsible for those services' availability.

13. Availability and disclaimers

We work to keep Octavella available and accurate, but the service is provided as is. We do not warrant that it will be uninterrupted or error free, and to the extent the law allows we disclaim implied warranties of merchantability and fitness for a particular purpose.

We are not responsible for the condition, quality, or timely delivery of an instrument supplied by a Provider, or for the quality of repair work a Provider performs.

14. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the service.

15. Indemnity

You agree to indemnify us against claims arising from your breach of these terms, your misuse of the service, or your violation of the law or of someone else's rights.

16. Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules.

17. Changes to these terms

We may update these terms. If a change is material we will give notice by email or in the application before it takes effect. Continuing to use Octavella after that means you accept the updated terms.
